These Terms and Conditions ("Terms") govern your access to and use of the HumanXQuant website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Service Description

HumanXQuant provides an algorithmic trading platform that showcases live performance data, quantitative trading strategies, human-versus-bot trade comparisons, and related educational content. The Service is intended for informational and educational purposes only.

2. User Eligibility

To use HumanXQuant, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be located in a jurisdiction where access to the Service is prohibited by law
• Comply with all applicable local, national, and international laws and regulations

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information when registering, and to notify us immediately of any unauthorized access to your account. Each user is permitted one account; duplicate accounts may be terminated.

4. Subscription and Access

Certain features of HumanXQuant may require a paid subscription. Subscription details, including pricing and billing frequency, will be presented at the time of purchase. Subscriptions are billed in advance and renew automatically unless cancelled. Please refer to our Refund Policy for information on cancellations and refunds.

5. Not Financial Advice

HumanXQuant, its owners, officers, employees, affiliates, and contractors are not licensed investment advisers, broker-dealers, or financial analysts. Nothing on the platform constitutes financial advice, investment advice, or a recommendation to buy or sell any security. All content is provided for educational and informational purposes only. You are solely responsible for your own trading and investment decisions.

6. Intellectual Property

All content on HumanXQuant — including but not limited to trading algorithms, strategy documentation, performance data visualizations, written content, and design — is the exclusive intellectual property of HumanXQuant. Users may not copy, reproduce, distribute, reverse-engineer, or create derivative works from any platform content without prior written consent.

7. User-Generated Content

If you submit comments, feedback, or other content through the Service, you grant HumanXQuant a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with the operation of the platform. You retain ownership of your submissions.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the Service or its underlying infrastructure
• Scrape, harvest, or collect data from the platform without authorization
• Share your account access with third parties

9. Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind. HumanXQuant expressly disclaims all warranties, whether express, implied, or statutory. In no event shall HumanXQuant be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Service.

Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold HumanXQuant and its affiliates harmless from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

You may terminate your account at any time by contacting us. HumanXQuant reserves the right to suspend or terminate your access at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to the Service, other users, or third parties.

12. Modifications to Terms

We may revise these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Dispute Resolution

We encourage resolving any disputes through direct communication first. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules. Class action proceedings are expressly waived.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved in the jurisdiction where HumanXQuant operates.

15. General Provisions

These Terms, together with our Privacy Policy, Earnings Disclaimer, and Refund Policy, constitute the entire agreement between you and HumanXQuant. If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
